Welcome to White Fang Consulting. By accessing our website or engaging our services, you agree to comply with and be bound by the following terms and conditions.
1. Services Provided
White Fang Consulting is a managed service aggregator providing IT Support, Digital Marketing, Video Production, and Strategic Consulting. The specific scope of work, timelines, and deliverables for each project will be outlined in a separate Statement of Work (SOW) or Service Agreement.
2. MSME Payment Terms (Section 43B(h))
As a registered Micro/Small Enterprise under the MSMED Act, 2006, the following payment terms apply to all business-to-business (B2B) transactions:
- Payment Deadline: All invoices must be settled within 15 days (if no written agreement exists) or a maximum of 45 days (if a written agreement is in place) from the date of service acceptance.
- Delayed Payment Interest: In accordance with Section 16 of the MSMED Act, any delay in payment beyond the specified period shall attract compound interest at three times the bank rate notified by the RBI.
- Tax Implications for Buyers: Please note that under Section 43B(h) of the Income Tax Act, buyers may only claim tax deductions for payments made to MSMEs within the 45-day window.
3. Intellectual Property
Unless otherwise agreed in writing:
- All preliminary concepts and “work-in-progress” remain the property of White Fang Consulting.
- Upon full and final payment, the final deliverables (videos, code, or marketing assets) are transferred to the Client for their use.
4. Client Responsibilities
The Client agrees to provide timely access to necessary data, logins, and feedback. Delays caused by the Client may result in adjusted timelines and additional “Rush Fees” if applicable.
5. Limitation of Liability
White Fang Consulting shall not be liable for any indirect, incidental, or consequential damages (including loss of profits) arising from the use of our services or technical recommendations. Our total liability is limited to the amount paid for the specific service in question.
6. Termination
Either party may terminate a project with [e.g., 15 days] written notice. The Client shall be liable to pay for all work completed up to the date of termination.
7. Governing Law & Jurisdiction
These terms are governed by the laws of India. Any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the Courts at Guwahati, Assam. As an MSME, we also reserve the right to seek resolution through the MSME Samadhaan facilitation council.
